PRINTER'S ACADEMY ON LINE LLC. d/b/a dinnerHQ ("dinnerHQ")

These Terms of Use are entered into by and between PRINTER'S ACADEMY ON LINE LLC., a Florida limited liability company located at 3870 NE 167th St, North Miami Beach, FL 33160, doing business as dinnerHQ ("dinnerHQ"), and the user identified below.

These Terms of Use (the “Terms”) form a legally binding contract between Printer’s Academy On Line, LLC, d/b/a dinnerHQ (“dinnerHQ”, “we”, “us” or “our”) and any person who accesses or uses the dinnerHQ website located at https://www.dinnerhq.com (the “Site”) or purchases tickets for a dinnerHQ‑hosted event (collectively, the “User”, “you” or “your”).

THESE TERMS CONTAIN A MANDATORY, BINDING ARBITRATION CLAUSE, A CLASS‑ACTION WAIVER AND A WAIVER OF JURY TRIAL. PLEASE READ THEM CAREFULLY.

1. Acceptance of Terms

By (i) visiting, browsing or otherwise using the Site, (ii) purchasing a ticket to a dinnerHQ event, or (iii) clicking “I agree” (or similar) where that option is made available, you acknowledge that you have read, understood and agree to be bound by (a) these Terms, (b) our Privacy Policy, and (c) any additional policies referenced in these Terms. If you do not agree, do not use the Site or purchase a ticket.

If you accept these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity. All references to “you” include the entity and its authorised representatives.

2. Event Access and Costs

2.1 Free Event Registration

dinnerHQ events are free to attend (US $0 registration fee). By registering, you confirm attendance at a curated B2B networking dinner matching professionals by industry vertical, function, and interests (the “Services”).

2.2 Meal Costs Not Included

IMPORTANT: Registration does not include the cost of food, beverages, sales tax, or gratuity. You are responsible for paying your meal costs directly to the restaurant on the night of the event.

2.3 Estimated Meal Cost

The typical cost of a main course plus a soft drink at dinnerHQ partner restaurants falls between US $60 and US $100+ per person before tax and gratuity. Actual spend depends on menu choices and may exceed this range. Alcohol, appetizers, desserts, sales tax, and a customary 18–22% gratuity are not included in the free registration.

2.4 Visa Gift Card Incentives (Select Events)

Gift Card Availability: Some events offer Visa gift card incentives (typically $60–$120) as a reward for attendance. Gift card availability is disclosed on the event registration page.

Ultimate Discretion: dinnerHQ reserves ultimate discretion to determine gift card eligibility and deny gift cards for any reason, including but not limited to:

  • Violation of these Terms of Use
  • Violation of the Code of Conduct
  • No-show or late arrival (more than 15 minutes)
  • Early departure without notice
  • Disruptive behavior or lack of professional engagement
  • Suspected fraudulent registration or profile information
  • Budget constraints or operational considerations

No Entitlement: Gift cards are discretionary incentives, not guaranteed entitlements. Attending an event does not automatically qualify you for a gift card, even if disclosed as available.

Not Payment for Data: Gift card incentives are not compensation or payment for sharing your professional data with sponsors. You agree to sponsor data sharing for networking purposes, regardless of gift card availability (see Section 4).

2.5 Conditions for Gift Card Eligibility

To be considered for a gift card incentive (where offered), you must:

  • Arrive on time (within 15 minutes of the event start time)
  • Stay for the entire dinner duration (typically 90–120 minutes)
  • Actively participate in professional networking conversations
  • Comply with the Code of Conduct and these Terms
  • Provide accurate professional information during registration
  • Pay your meal costs to the restaurant (failure to pay disqualifies you)

Processing Time: Gift cards (if approved) are distributed within 7–14 business days after the event. You will receive an email notification if approved. No notification is sent for denied gift cards.

2.6 Restaurant Status and Liability Disclaimer

Independent Third-Party Businesses: All restaurants hosting dinnerHQ events are independent, third-party businesses. Restaurants are not employees, agents, contractors, or partners of dinnerHQ. dinnerHQ does not own, operate, control, or manage any restaurant. We simply reserve dining space for networking events.

No Restaurant Oversight: dinnerHQ does not:

  • Inspect restaurant kitchens, food preparation areas, or safety practices
  • Verify restaurant compliance with health codes, food safety regulations, or sanitation standards
  • Train, supervise, or direct restaurant staff
  • Control restaurant menus, pricing, ingredients, or food sourcing
  • Guarantee allergen-free food preparation or cross-contamination prevention

Your Direct Relationship with Restaurants: When you dine at a dinnerHQ event, you enter into a direct commercial relationship with the restaurant. You are the restaurant's customer, not dinnerHQ's. The restaurant is solely responsible for food quality, safety, service, and billing.

dinnerHQ Disclaimer of Liability: dinnerHQ is not responsible for and shall have no liability related to:

  • Restaurant meal costs, pricing, or billing disputes
  • Restaurant quality, service, food safety, allergen handling, or food poisoning
  • Restaurant violations of health codes or food safety regulations
  • Injury, illness, or property damage occurring at restaurant premises
  • Denial of gift card incentives for any reason
  • Delays in gift card processing or delivery
  • Your ability to pay for meals at the event

Claims Must Be Directed to Restaurant: Any claims related to food quality, food poisoning, allergen reactions, billing disputes, or service issues must be directed to the restaurant, not dinnerHQ. dinnerHQ is not a party to disputes between you and the restaurant.

2.7 What We Do Not Promise

While we strive to assemble a balanced and engaging guest list, we cannot guarantee:

  • A specific gender mix, age range, seniority level, or number of attendees
  • That you will never be seated with someone you have previously met at another dinnerHQ event
  • That restaurants will stock specific menu items, eliminate all cross-contamination of allergens, or comply with every dietary preference
  • That any business outcome or relationship will result from your attendance
  • That gift card incentives will be available or approved for any event

2.8 Restaurant Logistics

We confirm the restaurant name and address one (1) day before the event via email and/or SMS. We may change the venue on short notice due to availability or force majeure. Do not bring guests: registrations are individual and non-transferable unless we approve a substitution in writing.

3. Eligibility

You must be at least 18 years old and able to enter into a binding contract under the laws of the United States to use the Site or attend an event. We reserve the right to refuse access to anyone at any time for any lawful reason.

4. Sponsored Events and Data Sharing

4.1 Universal Sponsor Data Sharing

IMPORTANT: By registering for any dinnerHQ event (whether explicitly labeled as “sponsored” or not), you agree that dinnerHQ may share your professional contact information with:

  1. Current event sponsors (if the event you attend has corporate sponsors)
  2. Potential future sponsors (for business development, sponsorship opportunities, and platform growth)

What we share with sponsors:

  • Full name
  • Business email address
  • Company name
  • Job title / role
  • Industry / vertical
  • LinkedIn profile URL (if provided)
  • Event attendance history (which events you attended)

We do NOT share:

  • Personal phone numbers
  • Home addresses
  • Payment information
  • Private dietary restrictions or accessibility needs

4.2 Legal Basis for Data Sharing (No Consent Checkbox Required)

dinnerHQ operates free B2B networking events by securing corporate sponsorships. Sponsors fund events in exchange for access to professional audiences. Under GDPR Article 6(1)(f), we rely on Legitimate Interest as the legal basis for sponsor data sharing:

  • Purpose: Enable free events via sponsor-funded business model
  • Necessity: Cannot operate free events without sponsor data access
  • Balancing Test: Professional networking inherently involves contact sharing; low-sensitivity data (business contact info only); user benefit (free access to networking opportunities); transparency (full disclosure in Terms and Privacy Policy)

No separate consent checkbox is required because data sharing is based on Legitimate Interest, not consent. By registering for an event, you acknowledge this data sharing practice.

4.3 Your Rights (GDPR Article 21 Objection)

Under GDPR, you have the right to object to processing based on Legitimate Interest. You can exercise this right by:

  • Not attending dinnerHQ events (if you object to sponsor data sharing, do not register)
  • Emailing [email protected] to opt out of future sponsor data sharing (note: this may result in ineligibility for future events)
  • Contacting sponsors directly to opt out of their marketing communications

4.4 How Sponsors Use Your Data

Sponsors may use your professional contact information for:

  • B2B marketing, outreach, and lead generation
  • Invitations to sponsor-hosted events or webinars
  • Product demos, trials, or sales conversations
  • Assessing sponsorship ROI and audience engagement

Sponsor Obligations: Sponsors must comply with anti-spam laws (CAN-SPAM Act, GDPR, CASL) and cannot sell your data to third parties without your explicit consent. If you receive unwanted communications from a sponsor, you can:

  • Use the unsubscribe link in sponsor emails (required by law)
  • Contact the sponsor directly to request removal from their list
  • Report spam violations to [email protected]

4.5 Gift Cards Are Not Payment for Data

Visa gift card incentives (where offered) are discretionary rewards for attendance, not compensation or payment for sharing your professional data. You agree to sponsor data sharing for networking purposes, regardless of gift card availability. This distinction is important for CCPA compliance (California law defines “sale” of personal information).

4.6 Information Sharing with Attendees

In addition to sponsor data sharing, dinnerHQ may share your professional contact details (name, company, job title, business email, LinkedIn profile—but not your phone number) with other confirmed attendees of the same dinner for post-event networking purposes.

5. Account & Event Registration

You are not required to create a persistent user account. To register for an event, we collect your name, business email, job title, company, and professional profile information. Events are free to register (US $0 registration fee). Registrations are non-transferable except as expressly stated in Section 6.

6. Cancellations & No‑Show Policy

Cancellation window

You may cancel your registration up to 48 hours before the scheduled event start time. No fees or refunds apply since registration is free. Cancellation ensures your seat can be offered to another professional.

No‑shows

Failure to attend without prior notice counts as a no‑show. Accumulating two (2) no‑shows in any six‑month period may result in suspension from future events. No-shows are automatically ineligible for gift card incentives (if offered at the event).

6A. Force Majeure

Event Cancellation Due to Force Majeure

dinnerHQ may cancel, postpone, or modify any event without liability if performance is prevented or materially impaired by a Force Majeure Event. A “Force Majeure Event” includes any circumstance beyond dinnerHQ’s reasonable control, including but not limited to:

  • Acts of God: Natural disasters (earthquakes, floods, hurricanes, tornadoes, wildfires, severe weather);
  • Public Health Emergencies: Pandemics, epidemics, or government-mandated health restrictions;
  • Government Actions: Laws, orders, regulations, travel bans, lockdowns, or venue capacity restrictions;
  • War or Terrorism: Military conflicts, terrorist attacks, civil unrest, riots, or national emergencies;
  • Infrastructure Failures: Power outages, telecommunications failures, or critical utility disruptions;
  • Venue-Related Issues: Venue closure, damage, safety violations, or loss of necessary permits;
  • Transportation Disruptions: Air traffic shutdowns, rail strikes, or widespread transportation failures;
  • Labor Disputes: Strikes, work stoppages, or labor shortages affecting venue or essential services;
  • Technology Failures: Cyberattacks, data breaches, or critical system failures preventing event operations;
  • Other Unforeseen Events: Any similar event beyond dinnerHQ’s reasonable control that makes event performance impossible or commercially impracticable.

User Rights Upon Force Majeure Cancellation

If an event is canceled or postponed due to a Force Majeure Event:

  • Free Events: No refunds or compensation are provided for free events. You may re-register for future events subject to availability.
  • Paid Events: You will receive either (i) a credit toward a future dinnerHQ event of equal or greater value, or (ii) a full refund of your ticket price, at dinnerHQ’s sole discretion.
  • Postponement: If the event is postponed to a new date, your registration will automatically transfer to the rescheduled event. If you cannot attend the new date, you may cancel your registration for a credit or refund (paid events only) by notifying dinnerHQ within 7 days of the postponement announcement.
  • No Additional Damages: dinnerHQ is not liable for any incidental, consequential, or indirect damages arising from event cancellation, postponement, or modification, including but not limited to travel expenses, accommodation costs, lost time, or business opportunities.

Notice of Cancellation

dinnerHQ will make reasonable efforts to notify registered attendees of any Force Majeure cancellation, postponement, or modification via email and/or the dinnerHQ website as soon as practicable under the circumstances. However, dinnerHQ is not liable for delays or failures in providing notice due to the Force Majeure Event itself.

Limitation of Liability

In no event shall dinnerHQ’s total liability for event cancellation or postponement due to Force Majeure exceed the amount paid by you for the affected event (if any). This limitation applies regardless of the legal theory under which liability is asserted, including breach of contract, negligence, or strict liability.

7. User Conduct

You agree to:

  • behave professionally and respectfully toward all participants, venue staff and dinnerHQ personnel;
  • comply with all applicable laws and restaurant policies, including dress codes and alcohol regulations;
  • avoid harassing, discriminatory, defamatory or otherwise unlawful speech or behaviour.

You shall not:

  • impersonate another person or misrepresent your affiliation;
  • collect personal data from other participants without consent;
  • bring unregistered guests;
  • resell or attempt to resell tickets without our written consent; or
  • attempt to probe, scan or test the vulnerability of the Site or dinnerHQ systems.

We may remove you from an event or ban you from future purchases if, in our sole judgment, your conduct violates these Terms or damages our brand.

8. Intellectual Property

All content on the Site—including text, graphics, logos, and software—is the property of dinnerHQ or its licensors and protected by U.S. and international IP laws. We grant you a limited, non‑exclusive, non‑transferable licence to access and use the Site for its intended purpose. Any other use is prohibited without our prior written consent.

9. User Content, Photos, Testimonials, and Media Rights

9.1 Grant of Rights

By attending any dinnerHQ event, submitting a testimonial, review, photo, video, or other content through the Site or to dinnerHQ (collectively, “User Content”), you automatically grant dinnerHQ and its parent company (PRINTER'S ACADEMY ON LINE LLC), subsidiaries, affiliates, sponsors, and authorized partners a worldwide, perpetual, irrevocable, royalty-free, fully sublicensable, and transferable license to:

  • Use, reproduce, modify, adapt, publish, translate, create derivative works from, and display your User Content in any media format now known or later developed;
  • Use your name, likeness, voice, company name, professional title, and biographical information in connection with such User Content;
  • Incorporate your testimonial, review, or feedback into dinnerHQ marketing materials, website content, social media posts, presentations, case studies, and promotional campaigns;
  • Share your User Content with event sponsors, venue partners, and media outlets for promotional purposes;
  • Archive, store, and display User Content on dinnerHQ's website, social media channels, and third-party platforms indefinitely.

9.2 Testimonials and Reviews

If you submit a testimonial, review, or feedback about dinnerHQ events or services (whether solicited or unsolicited, written, audio, or video):

  • Authorization: You expressly authorize dinnerHQ to publish your testimonial along with your name, company name, professional title, headshot photo (if provided), and LinkedIn profile link (if provided) on dinnerHQ's website, marketing materials, social media, and in presentations to prospective sponsors and attendees.
  • Editing Rights: dinnerHQ may edit testimonials for length, clarity, grammar, or formatting while preserving the substantive meaning. We will not materially alter the sentiment of your testimonial.
  • No Compensation: You acknowledge that testimonials are provided voluntarily and you will not receive any compensation, royalties, or payment for dinnerHQ's use of your testimonial or associated identifying information.
  • Withdrawal Request: You may request removal of your testimonial by emailing [email protected]. dinnerHQ will use commercially reasonable efforts to remove the testimonial from actively maintained marketing materials within thirty (30) days, but cannot guarantee removal from archived materials, third-party websites, or materials already distributed.

9.3 Photography and Video at Events

dinnerHQ and its authorized photographers, videographers, sponsors, and media partners may photograph and record video at events. By attending an event:

  • Photo/Video Consent: You consent to being photographed and recorded on video, and to dinnerHQ's unrestricted use of such photos and videos for marketing, promotional, archival, and commercial purposes without compensation to you.
  • Name and Company Use: dinnerHQ may identify you in photo captions or video credits using your name, company name, and professional title as provided during registration.
  • Third-Party Use: Photos and videos may be shared with event sponsors, venue partners, and media outlets who may also use them for their own marketing purposes.
  • Opt-Out: If you do not wish to be photographed or filmed, you must notify dinnerHQ in writing at least 48 hours before the event by emailing [email protected]. dinnerHQ will make reasonable efforts to accommodate your request but cannot guarantee you will not appear in background shots or group photos. If you appear inadvertently, you may request removal by emailing [email protected].

9.4 User Content Representations and Warranties

By submitting User Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, consents, and permissions to grant the rights described in this Section 9;
  • Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights;
  • Your User Content does not contain defamatory, obscene, offensive, or illegal material;
  • Your User Content does not contain confidential, proprietary, or trade secret information of any third party (including your employer) unless you have authorization to disclose it;
  • All factual statements in your User Content are true and accurate to the best of your knowledge.

9.5 dinnerHQ's Right to Remove Content

dinnerHQ reserves the right, but has no obligation, to monitor, edit, or remove any User Content at any time for any reason, including if we determine in our sole discretion that the content:

  • Violates these Terms, applicable law, or third-party rights;
  • Is factually inaccurate, misleading, or fraudulent;
  • Damages dinnerHQ's reputation or brand;
  • Contains spam, promotional content, or commercial solicitations;
  • Is subject to a valid legal request for removal (e.g., DMCA takedown notice, court order).

9.6 Indemnification for User Content

You agree to indemnify, defend, and hold harmless dinnerHQ and the Indemnified Parties (as defined in Section 13) from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to your User Content, including but not limited to claims of:

  • Copyright, trademark, or patent infringement;
  • Violation of privacy, publicity, or personality rights;
  • Defamation, libel, or slander;
  • Breach of confidentiality or trade secret misappropriation;
  • False advertising or deceptive trade practices.

9.7 No Obligation to Use

dinnerHQ has no obligation to use, display, or retain any User Content you submit. The grant of rights in this Section 9 does not create an obligation on dinnerHQ's part to feature, promote, or publish your User Content.

10. Third‑Party Content & Links

The Site may contain links to third‑party websites or services that are not controlled by dinnerHQ. We provide these links as a convenience and disclaim any responsibility for the content or practices of such third parties.

11. Privacy

Our collection and use of personal data are governed by our Privacy Policy. By using the Site or attending an event you acknowledge our data practices, including sponsor data sharing as described in Section 4.

12. Disclaimer of Warranties

THE SITE, SERVICES AND EVENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES—EXPRESS OR IMPLIED—including MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE and NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR‑FREE, OR THAT ANY PARTICULAR OUTCOME WILL RESULT FROM YOUR ATTENDANCE AT AN EVENT. WE MAKE NO WARRANTIES REGARDING GIFT CARD AVAILABILITY, APPROVAL, OR TIMING.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, dinnerHQ, ITS OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Event-Related Expenses and Gift Cards

Without limiting the foregoing, dinnerHQ shall have no liability whatsoever for:

  • Restaurant meal costs — You are solely responsible for paying your meal costs directly to the restaurant. We are not liable for pricing disputes, billing errors, or your inability to pay.
  • Gift card denials — We reserve ultimate discretion to deny gift cards for any reason. No liability arises from denial, delay, or processing errors.
  • Gift card non-delivery — Gift cards are delivered via email from third-party providers. We are not liable for email delivery failures, spam filters, lost cards, or technical issues with gift card activation.
  • Restaurant quality or safety — We do not control restaurants and are not liable for food quality, allergen cross-contamination, food poisoning, service issues, or venue safety.

Aggregate Liability Cap

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS, YOUR USE OF THE SITE, OR YOUR ATTENDANCE AT ANY EVENT SHALL NOT EXCEED US $100.

This $100 cap applies regardless of the number of events attended, the value of denied gift cards, or any meal costs incurred. Since registration is free (US $0), there is no refundable amount.

GDPR Exception to Liability Cap

Important: The $100 liability cap above does not apply to claims arising under the General Data Protection Regulation (GDPR) or UK GDPR. Under GDPR Article 82, data subjects have an independent right to receive compensation for material or non-material damage resulting from violations of GDPR, and this right cannot be contractually limited.

If you are a resident of the European Economic Area (EEA), United Kingdom, or Switzerland, and suffer damage as a result of our violation of GDPR (including unlawful processing, data breaches, or failure to implement appropriate security measures), you may seek full compensation under GDPR Article 82 without regard to the $100 cap.

Some jurisdictions do not allow the exclusion or limitation of certain damages; accordingly, some of the above limitations may not apply to you. For clarity, this section does not waive any rights you have under applicable consumer protection laws.

14. Indemnification

You agree to indemnify, defend and hold harmless dinnerHQ and its parent company (PRINTER'S ACADEMY ON LINE LLC.), subsidiaries, affiliates, officers, directors, employees, agents, contractors, consultants, partners, sponsors, venue operators, service providers, and all other related parties (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs and expenses (including reasonable attorneys’ fees and legal costs) arising out of or related to:

  • Your breach of these Terms or any other dinnerHQ policy;
  • Your misuse of the Site or Services;
  • Your violation of any applicable law, regulation, or the rights of any third party;
  • Any disputes related to restaurant meal costs, billing, or payment obligations;
  • Your conduct at any dinnerHQ event, including but not limited to interactions with other attendees, sponsors, venue staff, or any third parties;
  • Any content or information you submit, post, or transmit through the Site;
  • Any negligence, willful misconduct, or fraudulent activity on your part;
  • Any violation of intellectual property rights or privacy rights of any third party.

This indemnification obligation shall survive termination of these Terms and your use of the Services. dinnerHQ reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with dinnerHQ in asserting any available defenses.

15. Modifications to Terms or Services

We may modify these Terms or any aspect of the Services at any time. Changes are effective when posted on the Site with a “last updated” date or when we otherwise notify you. If you continue to use the Site after the effective date, you accept the revised Terms.

16. Suspension & Termination

We may suspend or terminate your access to the Site or cancel your event registration if we reasonably believe you have violated these Terms or pose a risk to other participants. Since registration is free, no refund is applicable.

17. Governing Law; Arbitration; Class‑Action Waiver

These Terms and any dispute arising hereunder are governed by the laws of the State of Florida, without regard to its conflict‑of‑laws principles.

Arbitration

Except for claims that qualify for small‑claims court, any dispute shall be resolved by binding arbitration before a single arbitrator conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules in Miami‑Dade County, Florida. Each party shall bear its own costs except as may be awarded by the arbitrator.

Class‑Action & Jury‑Trial Waiver

YOU AND dinnerHQ AGREE THAT ANY PROCEEDINGS SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS, MASS OR REPRESENTATIVE ACTION, AND YOU EXPRESSLY WAIVE ANY RIGHT TO A JURY TRIAL.

18. Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

20. Assignment

You may not assign these Terms without our prior written consent. We may assign our rights and obligations at any time.

21. Notices
